End-User Licence Agreement

This End-User Licence Agreement (the "EULA") is between you and Aptbyte Ventures ("we", "us") and governs the installable ExcelRewind software: the Excel add-in, the Google Sheets add-on, the optional desktop companion application, and their installers and updates (together, the "Software"). By installing or using the Software you accept this EULA. The hosted service, your account, billing, and content ownership are governed by our Terms of Service and Privacy Policy; if this EULA and the Terms conflict about the software licence itself, this EULA controls.

1. Licence grant

Subject to this EULA and the Terms of Service (including payment of any applicable subscription fees), we grant you a limited, personal, non-exclusive, non-transferable, non-sublicensable, revocable licence to install and use the Software on devices you control, for your subscription tier and seat count, to record, save, and replay spreadsheet sessions. The Software is licensed, not sold.

2. Restrictions

You may not, and may not permit anyone else to:

• copy the Software except as reasonably needed to install and run it;
• modify, adapt, translate, or create derivative works of the Software;
• reverse engineer, decompile, or disassemble the Software, or attempt to derive its source code, except to the extent applicable law expressly permits despite this restriction (for example, for interoperability) and then only after asking us first;
• circumvent or disable licence validation, tier or seat enforcement, encryption, or exam-integrity (Kiosk/Exam mode) features;
• distribute, sell, rent, lease, lend, sublicense, or host the Software for third parties;
• remove or alter proprietary notices in or on the Software; or
• use the Software in violation of law or of the Terms of Service's acceptable-use rules.

This EULA does not restrict what you do with your own files: your spreadsheets and the .rewind session files the Software produces are yours, and the .rewind format's documentation may be used to read your own files.

3. Marketplaces and third-party platforms

• The add-in and add-on may be distributed through the Microsoft AppSource marketplace and the Google Workspace Marketplace, or installed directly from our install page. Marketplace terms of those stores also apply to your acquisition of the Software through them.
• Microsoft and Google are not parties to this EULA, have no obligation to provide support, maintenance, warranties, or refunds for the Software, and are not responsible for it. Paid subscriptions are purchased from us through Stripe, not through Microsoft or Google.
• The desktop companion application is optional, is distributed only from our website, and the add-in works without it.

4. Updates

The Software's interface is delivered from our servers and updates automatically; installable components may also check for or require updates. Updates may add, change, or remove functionality and are covered by this EULA unless they come with their own terms. We may require a current version for continued use where older versions pose security or compatibility risks.

5. Ownership

The Software is owned by us and our licensors and is protected by copyright and other intellectual-property laws. We reserve all rights not expressly granted. No rights are granted to any Microsoft or Google trademark or software; Excel and Google Sheets are licensed to you separately by their vendors.

6. Term and termination

• This EULA is effective until terminated. It terminates automatically if you materially breach it, and when your right to use the Service ends under the Terms of Service (for example, cancellation of a paid tier ends the paid-tier licence; free-tier use continues under the free tier).
• On termination you must stop using and uninstall the Software.
• Termination does not affect your ownership of your local files: your spreadsheets and saved .rewind files remain yours, and .rewind files remain playable in the no-install web viewer.
• Sections 2, 5, 6, 7, and 8 survive termination.

7. Disclaimer and limitation of liability

THE SOFTWARE IS PROVIDED "AS IS" WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT, TO THE MAXIMUM EXTENT PERMITTED BY LAW. The warranty disclaimers, limitation of liability, and liability cap in Sections 11 and 12 of the Terms of Service apply equally to the Software and this EULA, and consumers retain any non-waivable statutory rights.

8. Governing law

This EULA is governed by the laws of India, and the courts at Delhi, India have exclusive jurisdiction, consistent with Section 16 of the Terms of Service.
